With respect to the Letter of Guarantee (L/G) issued on 8th day of May 200-- by Guarantor Corp. (Guarantor) in favor of Beneficiary Inc. (Beneficiary) to secure the payment obligations of Buyer Corporations (Debtor) amounting to US Dollar Thirty Million under the Purchase Agreement dated February 12, 200-- made between the Beneficiary and the Debtor, as amended from time to time, the undersigned, Beneficiary Inc., hereby, on and from the signing date of this letter:
